Terms and Conditions
Preamble
Via its website (hereinafter the "Website"), Apothicom Distribution provides its
customers (hereinafter the "Customers" or "you") with its Harm
Reduction tools aimed at reducing risks associated with injection drug use
(hereinafter the "Products").
The Website presents two separate ordering areas: Orders placed by people
known as "private individuals" (hereinafter "Individual
Orders") referring to any purchase made via the Individual Orders page.
Orders known as "Professional" (hereinafter "Professional
Orders") referring to any purchase made via the Professional Orders page.
The present Terms & conditions of sale (hereinafter referred to as the
"TCS") apply to all sales of Products via the Website and supplement
the terms and conditions of use of the Website.
These conditions of sale shall prevail over any other general or specific
conditions not expressly approved by Apothicom Distribution. Apothicom Distribution reserves the right to modify these terms &
conditions of sale at any time. In this case, the applicable conditions will be
those in force on the date of the order placed by the Customer.
Conditions for placing orders
Buyers wishing to purchase a Product or service via the Website must
compulsorily:
- Fill in the identification form with all the
contact details requested or give their Customer number if they have onewishing ;
- Fill in the online order form, providing all the
references of the Products chosen;

Validate their order after checking it;
- Make payment in accordance with the specified
conditions;
- Confirm their order and payment.
Confirmation of the order implies acceptance of the present terms & conditions of sale,
acknowledgement that the Customer is fully aware of them, and waiver of the
right to invoke the Customer's own terms and conditions of purchase or any
other terms and conditions.
All provided data and the registered confirmation will be considered as
proof of the transaction. Confirmation shall imply signature and acceptance of
the transactions carried out. The seller will confirm the registered order by e-mail.
Characteristics of the available goods and services
The available Products and services are those featuring in the catalogues
published on the Website. Any order referring to any other catalogue or order
source shall be considered null and void.
These Products and services are provided according to stock availability.
Each Product comes with a description drawn up by Apothicom Distribution. The photographs displayed in the catalogue are as accurate as possible
but cannot ensure a perfect similarity with the supplied Product, particularly
with regard to colour and size.

Prices
The prices listed in the catalogues are in Euros and include French VAT,
applicable on the date of the order; any change in the rate may be applied to
the price of the Products.
Orders shipped to European Union countries will be invoiced according to
the local VAT rate. For any questions, please write to adv@apothicom.org.
Apothicom Distribution reserves the right to modify its prices at any time,
it being understood, however, that the price featuring in the catalogue on the
day of the order will be the only price applicable to the Customer. The prices listed do not include order processing nor transportation
costs. For Professional orders placed by email, a flat-rate processing fee of
20.00 Euros (incl. VAT) will be applied to all orders of less than 150.00 Euros
(incl. VAT).
Customs Duties
Any orders placed via the Website bound for a country outside mainland
France may be subject to any taxes and customs duties imposed in the country of
delivery. These customs duties and any taxes associated with the delivery of an
item are the responsibility of the Customer. Apothicom Distribution is not
obliged to check and inform its Customers of the applicable customs duties and
taxes. It is the Customer's responsibility to enquire of the competent
authorities in their country.
Terms of payment
Payment is due when the order is placed.
For account Customers, our invoices are payable within 45 days of month-end
or 60 days of invoice date.
By express agreement and unless a deferment is requested in due time and
granted by us, non-payment of our invoices on the due date will, after a simple
formal notice, result in :

Immediate payment of all outstanding amounts;
- Late payment penalties of three times the current legal interest rate;
- Decree #2012-1115 of 2 October 2012 setting the
amount of the fixed indemnity of €40 for collection costs in commercial
transactions provided for in article L. 441-6 of the French Commercial Code.
All first Professional orders are pending to an
advance payment. In addition, under certain conditions, advance payment
guarantees may be required.
Methods of payment
For Individual Orders, payment will be made in Euros by :

Credit card: payments will be made using the 3D SECURE system,
which uses the SSL (Secure Socket Layer) protocol so that transmitted
information is encrypted by software and cannot be read by any third party
during transmission over the network.
- Paypal: this secure payment method offers the same
guarantees as a credit card transaction.
For Professional Orders, payment will be made in Euros by :

Cheques, which must be sent to the seller's head office and bear the mention: payable to Apothicom Distribution.
- Bank transfer,
the costs resulting from the bank transfer will be
entirely at the Customer's expense.

Apothicom Distribution reserves the right to refuse
an order if the means of payment used to settle an order do not comply with the
conditions mentioned above. In this case, the buyer will bear any transaction
costs.
The Customer's account will only be debited upon dispatch of the available Products
and only for the amount of the sent Products. A paper invoice showing VAT may be sent at the Customer's request.
Reservation of ownership
In accordance with the law of 25 January 1985,
Apothicom Distribution reserves ownership of the goods until full payment of
the sale price.
Deliveries
Deliveries are made to the address specified on the order form.
The Customer is responsible for checking the goods and their condition on
receipt at its premises, in accordance with Article Appendix II of the French
Transportation Code. In the event of damage, the Customer must state his/her
reservations on the shipping document before signing it and take one or more
photos of the damage. The damage must be described precisely. The Customer must
inform Apothicom Distribution within 24 hours. The scales of delivery charges, invoiced according to the geographical
zones and type of shipment requested by the Customer, can be consulted in the Shipping rate section of Apothicom’s website.
Guarantee
All Products supplied by the seller benefit from the legal guarantee
provided by articles 1641 et seq. of the French Civil Code.
In the event of non-conformity of a sold Product, it may be returned to the
seller who will take it back, exchange it or reimburse it. The Product must be
returned in its original packaging, and the nature of the non-conformity must
be specified on the returns slip, the costs being borne by the seller. All claims are to be made by e-mail to adv@apothicom.org.
